Ingest Labs Inc.(“Ingest Labs”, “We”, “Us”, or “Our”) is a Software-As-A-Service-based media tagging platform. We are committed to protecting the privacy and security of your personal information. This Privacy Policy outlines how we collect, use, disclose, and protect your information when you use our services or interact with our website. We understand that the information provided by You (as defined below) belongs to You, and not to Ingest Labs.

In this Privacy Policy: 

  • “Subscribers” are individuals or entities that purchase Our Services. 
  • “Users” are individual authorized by the Subscriber to use the Services. 
  • “Visitors” includes all individuals that visit the Websites, including Subscribers, Users, and any other visitors. 
  • Personal information about Subscribers (“Subscriber Information”), Users (“User Information”), and Visitors (“Visitor Information”) is collectively referred to as “Personal Information”. 
  • Subscribers, Users, and Visitors are collectively referred to as “You” or “Your”. 
  • “Service” includes all products, services, subscriptions, and content, that are provided to You on or through the Website by or on behalf of Ingest Labs. 
  • “Terms of Service” means the Terms of Service agreement available at Terms of service, as updated from time to time. 

This Privacy Policy applies only to information collected by Ingest Labs or through the Website/Service. This Privacy Policy is subject to the Terms of Service. If any capitalized word or phrase has been defined within the Terms of Service but has not been defined within this Privacy Policy, that word or phrase shall have the same meaning that has been assigned to it under the Terms of Service. By using Ingest Labs Website, you consent to the data practices described in this Privacy Policy. 

  1. WHAT PERSONAL INFORMATION DOES INGEST LABS COLLECT? 

Ingest Labs collects personal information about (1) Subscribers; (2) Users; and (3) Visitors. If an individual purchases Services or uses the Website directly on its own behalf, then such individual is both a Subscriber and a User. 

  1. Subscriber: The Subscriber is required to provide certain Personal Information that is necessary for Us to provide the Services. We ask for Personal Information during (i) registration of an account; (ii) entering a sweepstakes or contest sponsored by us or one of Our partners; (iii) signing up for special offers from selected third parties; (iv) communicating to Us; (v) when ordering and purchasing Our Services; (vi) filling up the “Contact Us” form on the Website; that includes, but is not limited to the following Personal Information, name, e-mail address, phone number, location, and company information (if any). Please also see 1.2 and 1.3. 
  1. User: When a User registers for a Service, the User is required to provide Personal Information that is necessary for Us to provide the Service. We ask for information that includes but is not limited to, device information, contact information, location, IP address, and user identifiers such as social media profile, email addresses. Please also see 1.3. 
  1. Visitor: Visitors include Subscribers, Users, and all other visitors. When a Visitor visits the Website, Ingest Labs collects information as explained in Section 7 below. We may also collect other Personal Information that is provided by the Visitor at the Visitor’s discretion, such as when a Visitor contacts Us.  
  1. HOW DOES INGEST LABS PROCESS PERSONAL INFORMATION?  

The Personal Information collected is only used in accordance with this Privacy Policy for the purposes described below. 

  1. Performance of Contract: To provide Services in the normal course of Our business, to provide features in the Services availed, including contacting You regarding technical support, creating personalized services for the Subscriber, payments (such as billing, invoicing, and payment processing), or bringing to Your attention any aspect of Our mutual business such as changes to Terms of Service or this Privacy Policy. 
  1. Legitimate Interest: To protect Our legal rights, to improve the performance, features and security of the Website and Services by analyzing user behavior, or for detection or prevention of fraud or misuse of Our Services or properties. 
  1. Vital Interests: If and as necessary to protect Your vital interests or the vital interests of another natural person, such as if required to provide medical aid. 
  1. Compliance with a Legal Obligation: To comply with Our legal obligations and for law enforcement purposes, for compliance with a legal requirement or court order.

  1. WHO DOES INGEST LABS SHARE PERSONAL INFORMATION WITH? 

Ingest Labs does not use or disclose Personal Information for purposes that are materially different from those described in this Privacy Policy. We share the Personal Information with third parties only in the ways that are described in this Privacy Policy.  

  1. User Information with Subscriber: We provide Services to Subscribers who may provide access to the Users. Accordingly, Ingest Labs may provide access to the Subscriber with User Information, including but not limited to usage of the Service, data or information stored on the Service, and reports generated using the Services. 
  1. Service Providers: Our service providers and Affiliates provide services to Us and Our Subscribers. Our service providers and Affiliates will be required to use Personal Information solely for the purpose of providing the Services.  
  1. For Legal Reasons: We may disclose Personal Information as required by law such as to respond to subpoenas, court orders, or legal processes, or to establish or exercise legal rights or defend against legal claims and when We believe, in good faith, that disclosure is necessary to protect Our right, or to protect Your safety or the safety of others. In certain situations, We may be required to disclose Personal Information in response to lawful requests by public authorities, including to meet national security or law enforcement requirements. We may also share Personal Information to investigate, prevent, or take action regarding illegal activities, suspected fraud, situations involving potential threats to the physical safety of any person, violations of Our Terms of Service, or as otherwise required by law.

Merger and Acquisition: If Ingest Labs is involved in merger, acquisition, or sale of all or a portion of its assets, You will be notified via email and/or a prominent notice on the Website or Service of any changes in ownership, processing of Personal Information, and choices available to You regarding any Personal Information in Our possession.  
  1. WHAT RIGHTS DO YOU HAVE UNDER THIS PRIVACY POLICY?

We may require You to furnish proof of Your identity and/or proof of authorization to undertake the requested action before granting any request under this section. Where permitted by law, We may charge a fee for the performance of the obligations under this section. If You are a User, please contact the applicable Subscriber for request(s) under this section. You may exercise the following rights for Your Personal Information: 

  1. Data Ownership: You own all personally identifiable information that You bring to the Website. We may Process Personal Information in accordance with this Privacy Policy. 
  1. Right to Access and Correction: Upon Your request, We will inform You whether We hold any of Your Personal Information, and if yes, what Personal Information We have. Some categories of Your Personal Information can be modified in Your account. For Personal Information that cannot be modified through Your account, please contact Us. Unmodified Personal Information may remain in back-ups and records subject to Section 5 below. 
  1. Right to Withdraw Consent: You may withdraw Your consent, preventing future data processing based on that consent. 
  1. Right to Opt-Out from Direct Marketing Communications: All direct marketing communications, such as emails, sent by Us contain instructions for unsubscribing from such communication. Alternatively, You may contact Us to stop sending direct marketing communications to You. We may continue to send service updates even if you opt out of direct marketing communications.

  1. DATA TRANSFER, STORAGE AND RETENTION.  
  1. Data Transfer and Storage: By accessing the Website or using the Services, You agree and provide Your consent to transfer and store Personal Information to Our servers located in USA and India.

Data Retention and Deletion: Personal Information submitted by You for the purpose of seeking information about Our services and products will be retained for a period of up to one (1) year, and will thereafter be deleted or anonymized unless You subscribe to a Service or purchase a product or Service. Statistical and analytical data collected automatically from the website will be deleted within one (1) year from the date of collection. Personal Information of Subscribers who have purchased a product or service or subscribed to a Service will only be deleted once the account is deactivated by the Subscriber. Notwithstanding anything to the contrary above, Ingest Labs may retain Personal Information as described below:

Legitimate Interest: Personal Information necessary for Our legitimate purposes, such as record keeping, resolution of disputes, enforcement of Our agreements, protection of Our rights, prevention and detection of fraud, or misuse of Our Services or properties, may be retained as long as necessary for such legitimate interests. We will not retain data for such legitimate purposes if We believe that Your interests or fundamental rights and freedoms override Our legitimate interests.

Legal Obligation: Personal Information necessary to fulfil Our legal obligations, such as taxation, data retention, reporting obligations, and other obligations under Applicable Law, court order, or law enforcement request, may be retained as long as required to comply with such legal obligations. 
  1. Anonymized Data for Service Improvement: We may retain de-identified or anonymized data for improving Services, and for creating new Services. 
  1. HOW DOES INGEST LABS PROTECT PERSONAL INFORMATION?  

Ingest Labs undertakes commercially reasonable measures to protect Personal Information. To prevent unwanted and unauthorized access to Personal Information, Ingest Labs uses the following methods, techniques, and technologies: 

  1. We use security logs, train Our personnel, and limit access to only essential personnel. 
  1. We are compliant with SOC2 and HIPAA standards. 
  1. Implementation of encryption protocols (Such as SSL) for Personal Information both in transit and at rest. 
  1. The Service is hosted in a secure server environment that uses reasonable technologies to prevent access from outside intruders.  

We strive to take appropriate security measures to protect against unauthorized access to or alteration of Your Personal Information. Unfortunately, no data transmission over the internet or any wireless network can be guaranteed to be 100% secure. As a result, while We strive to protect Your Personal Information, You acknowledge that: (a) there are security and privacy limitations inherent to the internet which are beyond Our control; and (b) security, integrity, and privacy of any and all Personal Information and data exchanged between You and Us through this site cannot be guaranteed.

The Website may, from time to time, contain links to the websites of Our partner networks, advertisers, affiliates, or any other third-party websites, apps, or services. This Privacy Policy does not apply to data collected on third-party websites, apps, or services, or the use of Ingest Labs Services by third parties for the collection of information, even if such third parties are Ingest Labs’ partners and display Ingest Labs’ branding on their websites, apps, or services. This Privacy Policy further does not apply to data of Users or third-parties that is collected by Subscribers. Data collected by third parties or Subscribers is subject to their own privacy policies and privacy practices. Please check the privacy policies and terms of service or terms and conditions of the applicable Subscriber (if You are a User), or the applicable third-party website, app, software or service that You choose to visit or use. We do not accept any liability for any collection, storage, use, misuse, sharing, disclosure or transfer of data, viruses or other malware, or any other damage, loss or harm caused to You or anyone else as a result of Your visit to any third-party website, app, or service, use of any third-party software, or the privacy or data protection practices of Subscribers. 

  1. CHILDREN’S PRIVACY. 

Our Website, along with the information it offers, is not intended for anyone under the age of majority in the applicable jurisdiction (region), and We do not knowingly collect, handle, or retain, any Personal Information from anyone under the age of majority in the applicable jurisdiction. If You are under the age of majority in Your jurisdiction, You must ask your parent or legal guardian for permission to use the Website. If You are unsure of whether You are above the age of majority, please ask Your parent or legal guardian. 

  1. DO NOT TRACK. 

Our website currently does not respond to Do Not Track requests from web browsers or other software.

As We are constantly improving the Services and expanding the business, We retain the right to modify the Privacy Policy at any time and from time to time.   1. Australia. This information is applicable to Subscribers, Users and Visitors located in Australia only. Ingest Labs is committed to protecting all personal data received from Australia in compliance with Australia’s Privacy Act and Australian Privacy Principles. You have the following rights available to You in addition to the rights listed in Section 4 above: 
  1. Supervisory Authority: If you are unsatisfied with Our response to Your request, You have the right to complain to Your supervisory authority. However, for speedy fulfilment of Your rights, we request that you reach out to Us at [email protected] first, so that We can help You resolve any issue You may have faced in the fulfilment of Your request. 
  1. Canada. This information is applicable to Subscribers, Users and Visitors located in Canada only. You have the following rights available to You in addition to the rights listed in Section 4 above:  
  1. Right of Erasure: Ingest Labs deletes Personal Information subject to Section 5 above. In certain situations, We may retain some or all of Your Personal Information in accordance with Section 5 above. We may refuse to grant this request if We consider the retention of Personal Information to be necessary for Us to protect Our legal rights, for law enforcement purposes, for compliance with a legal requirement or court order, or for detection or prevention of fraud or misuse of Our Service or properties. 
  1. Supervisory Authority: If you are unsatisfied with Our response to Your request, You have the right to complain to Your supervisory authority. As per Australian law, You have to reach out to Us at [email protected] first regarding such complaints. 
  1. India. This information is applicable to Subscribers, Users and Visitors located in India only. You have the following rights available to You in addition to the rights listed in Section 4 above:

In certain situations, We may retain some or all of Your Personal Information in accordance with Section 5 above.
